Affiliate Partner Terms and Conditions

 

1. Introduction

These Affiliate Partner Terms and Conditions govern the relationship between Jem Enterprises WA Pty Ltd (Bradshaw Knox), hereinafter referred to as “the Company,” and its affiliate partners, hereinafter referred to as “the Affiliate,” in relation to the promotion of the Company’s products and services.

 

2. Services Offered

The Affiliate agrees to promote the Company’s products and services to potential customers in exchange for a commission based on sales generated through their promotional efforts. The commission rates for different types of products and services are as follows:

  • Physical Products: 10%
  • Online Course: 25%
  • Advisory Services: 15%
  • Mixed Services (Course/Advisory): 15%
  • Recurring Subscriptions: 15% commission for the initial subscription period, and the first renewal period.

 

3. Affiliate Responsibilities

The Affiliate acknowledges and agrees to the following responsibilities:

  • Promote the Company’s products and services in a professional and ethical manner.
  • Ensure all promotional materials accurately represent the Company’s offerings.
  • Comply with all applicable laws and regulations regarding advertising and marketing practices.
  • Refrain from engaging in any deceptive or misleading marketing tactics.
  • Provide accurate and complete information necessary for the calculation and payment of commissions.

 

4. Commission Payments

Commissions will be calculated based on the gross amount of sales generated through the Affiliate’s promotional efforts, minus taxes, GST, and shipping costs. Payments will be made 60 days after the sale is logged in the system, and will be subject to any minimum payout thresholds set by the Company. The Company reserves the right to withhold or adjust commission payments in the event of any suspected fraudulent activity or violation of these Terms and Conditions by the Affiliate.

 

5. Limitation of Liability

The Affiliate acknowledges that the Company’s liability is limited to the payment of commissions earned in accordance with these Terms and Conditions. The Company shall not be held liable for any indirect, incidental, special, or consequential damages arising out of or in any way connected with the Affiliate’s participation in the affiliate program.

 

6. Governing Law and Jurisdiction

These Affiliate Partner Terms and Conditions shall be governed by and construed in accordance with the laws of Western Australia. Any dispute arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of Western Australia.

 

7. Amendments

The Company reserves the right to amend these Affiliate Partner Terms and Conditions at any time. The Affiliate will be notified of any changes, and continued participation in the affiliate program after such notification shall constitute acceptance of the amended Terms and Conditions.

 

8. Entire Agreement

These Affiliate Partner Terms and Conditions constitute the entire agreement between the Company and the Affiliate with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to such subject matter.

 

By participating in the Company’s affiliate program, the Affiliate acknowledges that they have read, understood, and agreed to these Affiliate Partner Terms and Conditions.
